1. Acceptance of Terms

By accessing and using Loop Menu ("Service"), operated by Quick Tap Services Pvt Ltd ("Company", "we", "us", or "our"), you accept and agree to be bound by these Terms and Conditions and our Privacy Policy. These terms apply to all users of the Service, including restaurants, diners, and visitors.

2. Description of Service

Loop Menu provides a digital menu and ordering platform that enables:

• QR code-based menu access for restaurant customers
• Digital menu management and updates for restaurant owners
• Self-ordering and payment processing capabilities
• Integration with Point of Sale (POS) systems
• Analytics and reporting tools for restaurant operations
• Customer data collection and management

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Service, restaurants must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your restaurant or business. By creating an account, you represent and warrant that you meet these requirements.

4. Subscription and Payment Terms

4.1 Subscription Plans

Loop Menu offers various subscription plans with different features and pricing. Current plans include:

• Starter Plan: ₹2,999/month (or ₹2,399/month when billed annually)
• Growth Plan: ₹4,999/month (or ₹3,999/month when billed annually)
• Enterprise Plan: Custom pricing based on requirements

4.2 Free Trial

New users may be eligible for a 14-day free trial. No credit card is required to start the trial. At the end of the trial period, you will be prompted to select a paid plan to continue using the Service.

4.3 Billing and Payment

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are in Indian Rupees (INR) unless otherwise stated
• Payments are processed through secure third-party payment processors
• You authorize us to charge your payment method for all subscription fees
• Failed payments may result in service suspension or termination

4.4 Price Changes

We reserve the right to modify our pricing structure at any time. Price changes for existing subscriptions will be communicated at least 30 days in advance and will take effect at the next renewal period.

5. Service Usage and Restrictions

5.1 Permitted Use

You may use Loop Menu only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers/networks connected to it
• Attempt to gain unauthorized access to any portion of the Service
• Use any automated system to access the Service without permission
• Upload or transmit viruses, malware, or any malicious code
• Collect or harvest any user data without consent
• Reverse engineer or attempt to extract source code from the Service

5.2 Content Responsibility

You are solely responsible for all content you upload to the Service, including menu items, descriptions, images, and prices. You warrant that:

• You own or have the rights to use all content you upload
• Your content does not infringe any third-party intellectual property rights
• Your content is accurate and not misleading
• Your content complies with applicable food safety and labeling regulations

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Quick Tap Services Pvt Ltd and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms.

6.3 Your Content

You retain all rights to content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, distribute, and display your content solely for the purpose of providing and improving the Service.

7. Third-Party Services and Integrations

Loop Menu integrates with various third-party services, including:

• Point of Sale (POS) systems
• Payment processors
• Analytics platforms
• Communication services

Your use of third-party services is subject to their respective terms and conditions. We are not responsible for the availability, functionality, or actions of third-party services.

8. Data Protection and Privacy

We take data protection seriously. Our collection, use, and protection of your personal data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

8.1 Customer Data

You acknowledge that customer data collected through the Service may include:

• Contact information (phone numbers, email addresses)
• Order history and preferences
• Payment information (processed by third-party payment processors)
• Dining patterns and behavior analytics

You are responsible for obtaining necessary consents from your customers for data collection and use.

9. Service Availability and Modifications

9.1 Service Availability

While we strive to maintain 99.9% uptime, we do not guarantee that the Service will be available at all times or without interruption. We may experience:

• Scheduled maintenance and updates
• Unexpected technical difficulties
• Third-party service disruptions
• Force majeure events

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation:

• Access to the Service will continue until the end of your current billing period
• No refunds will be provided for partial months or unused services
• Your data will be retained for 30 days before permanent deletion

10.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You breach these Terms and Conditions
• Payment fails and is not resolved within 7 days
• You engage in fraudulent or illegal activities
• Your use of the Service poses a security risk
• You violate applicable laws or regulations

11. Warranties and Disclaimers

11.1 Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content

11.2 No Guarantee of Results

While we showcase average revenue increases and operational improvements, we do not guarantee specific results for your restaurant. Performance may vary based on numerous factors beyond our control.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Quick Tap Services Pvt Ltd shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or security breaches
• Actions or inactions of third-party services
• Errors or inaccuracies in content

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Quick Tap Services Pvt Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service
• Your restaurant's operations and customer interactions

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

14.3 Arbitration

For disputes involving amounts under ₹5,00,000, you agree to first attempt to resolve the matter through good-faith negotiations. If unresolved within 30 days, the dispute shall be settled through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Quick Tap Services Pvt Ltd.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms at any time without notice.

15.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or failures of third-party services.

16. Updates to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through:

• Email notification to your registered email address
• In-app notification when you log in
• Notice on our website

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
